ALJ Ventures Terms & Conditions

These Terms & Conditions govern your access to and use of the ALJ Ventures platform, including all associated products such as Lead Pilot, AI agents, automations, dashboards, and related services (collectively, “the Services”). By using ALJ Ventures, you agree to these Terms.

If you do not agree, you may not access or use the Services.

1. Use of the Platform

ALJ Ventures grants you a limited, non-exclusive, non-transferable license to access and use the Services for your business purposes. You may not:

• Reverse engineer, reproduce, or distribute any part of the platform
• Use the Services to build competing tools or datasets
• Use the platform for unlawful purposes or in violation of industry regulations
• Misrepresent your identity or business when using AI-driven communication features

You are responsible for maintaining the confidentiality of your account login information.

2. Customer Data & Content

“Customer Data” includes all information, prompts, uploads, integrations, contacts, and content you provide to the ALJ Ventures platform.

You retain ownership of your Customer Data.

By using the Services, you grant ALJ Ventures the right to process, store, and use Customer Data solely to operate and improve the platform in accordance with these Terms.

ALJ Ventures does not sell Customer Data and does not use it to train public AI models.

3. AI-Generated Outputs

The Services include AI-powered features such as automated SMS replies, email responses, chat interactions, knowledge-based answers, summaries, lead scoring, and recommendations.

You acknowledge:

• AI outputs may occasionally be inaccurate or incomplete
• You are responsible for reviewing and verifying AI-generated content used in your business
• You control approvals, guardrails, and instructions that guide AI behavior

ALJ Ventures is not responsible for decisions made based on AI-generated output.

4. Data Privacy & Security

ALJ Ventures maintains security practices designed to protect Customer Data, including encryption, controlled LLM execution, and restricted access protocols.

You agree to:

• Use the Services in compliance with applicable data privacy laws
• Not upload sensitive personal information unless your configuration and legal requirements permit it
• Notify ALJ Ventures immediately if you believe your account security has been compromised

5. Fair Use & Communication Compliance

You are responsible for ensuring your use of IONText, IONEmail, IONChat, and any automated communication tools complies with all applicable laws, including:

• SMS and email regulations
• Consent requirements
• Industry-specific communication rules
• Do Not Call and opt-out standards

ALJ Ventures may suspend access to messaging features if usage violates compliance standards or platform abuse rules.

6. Payment, Subscriptions, and Billing

Access to the Services may require purchase of a subscription or plan. By subscribing, you agree to:

• Pay all applicable fees on time
• Maintain valid payment information
• Accept that fees are non-refundable unless explicitly stated otherwise

Plans may auto-renew unless cancelled prior to the renewal date.

Pricing for enterprise, private label, or wholesale accounts is governed by separate agreements.

7. Service Modifications

ALJ Ventures may update, enhance, or modify platform features to improve performance and functionality. This may include:

• Adding or removing features
• Updating user interfaces
• Upgrading underlying AI models
• Improving security or data handling

Changes will not remove your access to purchased core functionality without notice.

8. Availability & Support

ALJ Ventures aims to maintain stable uptime but does not guarantee uninterrupted access. Planned maintenance, upgrades, or unforeseen outages may occur.

Support tiers depend on your selected plan. Priority or dedicated support is available for certain accounts.

9. Acceptable Use Restrictions

You may not:

• Use the platform for illegal activities
• Send harmful, deceptive, or abusive messages
• Upload malicious code
• Interfere with platform performance or security
• Circumvent usage limits, rate limits, or access controls
• Use AI features to impersonate individuals or misrepresent credentials

Violation may result in suspension or termination.

10. Third-Party Integrations

The platform may integrate with external services such as:

• SMS providers
• Email systems
• CRMs
• Web builders
• Cloud hosting partners
• Payment processors

Your use of third-party services is subject to their independent terms. ALJ Ventures is not responsible for data handling or downtime associated with external tools.

11. Intellectual Property

All rights to the platform, architecture, AI features, design, analytics, agent behavior, workflows, and software belong to ALJ Ventures.

You may not:

• Copy platform features
• Publicly disclose platform benchmarks
• Resell platform components without a private label or wholesale contract

Private label partners must follow branding and usage requirements set in separate agreements.

12. Termination

ALJ Ventures may suspend or terminate your account if:

• Terms are violated
• Fraudulent activity is detected
• Usage poses a security or compliance risk

You may terminate your account at any time by contacting support.

Fees already paid are not refundable unless otherwise stated.

13. Limitation of Liability

To the extent permitted by law:

• ALJ Ventures is not liable for indirect, incidental, or consequential damages
• Liability in all cases is limited to the amount paid in the previous 12 months

This includes claims arising from:

• AI-generated errors
• Messaging outcomes
• Platform downtime
• Integration failures
• Data inaccuracies

14. Governing Law

These Terms are governed by the laws of the state in which ALJ Ventures is headquartered, without regard to conflict-of-law principles.

15. Updates to Terms

ALJ Ventures may update these Terms periodically. Continued use of the platform after updates constitutes acceptance of the revised Terms.
